1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ExpoLeads ("Company," "we," "us," or "our") governing your use of our website, mobile applications, and services (collectively, "Platform"). By accessing, browsing, or using ExpoLeads, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Platform.

2. Eligibility

You represent and warrant that: (a) you are at least 18 years old (or the age of majority in your jurisdiction); (b) you have the authority to enter into this agreement; (c) you are not prohibited by law from using the Platform; and (d) you will comply with all applicable laws and regulations.

3. Use License and Restrictions

Subject to compliance with these Terms, ExpoLeads grants you a limited, non-exclusive, non-transferable license to access and use the Platform for your internal business purposes. You may not: modify, copy, or distribute content without permission; use the Platform for any commercial purpose without authorization; attempt to gain unauthorized access or reverse engineer the Platform; remove or obscure copyright, trademark, or proprietary notices; use automated tools to extract data without permission; transmit viruses, malware, or harmful code; interfere with Platform functionality or security; or violate intellectual property or privacy rights of others.

4. User Accounts

You are responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activity under your account; (c) promptly notifying us of unauthorized access; and (d) preventing third-party access to your account. ExpoLeads is not liable for unauthorized access if you fail to safeguard your credentials.

5. User Content

You retain ownership of content you upload ("User Content") but grant ExpoLeads a worldwide, royalty-free license to use, copy, modify, and display it for platform operations and improvement. You warrant that you own or have licensed User Content and that it does not violate third-party rights or applicable laws.

6. Acceptable Use Policy

You agree not to: violate any laws or regulations; harass, threaten, defame, or disparage others; engage in fraudulent, deceptive, or misleading activities; transmit spam, unsolicited communications, or malware; infringe intellectual property rights; disclose others' personal or confidential information; or use the Platform for unlawful purposes.

7. Intellectual Property Rights

ExpoLeads and its content (including software, design, graphics, text) are owned by us or licensed from third parties and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without written permission.

8. Data and Privacy

Your use of the Platform is governed by our Privacy Policy. You acknowledge that data you input may be processed according to applicable laws and our Privacy Policy. ExpoLeads implements reasonable security measures but cannot guarantee absolute security.

9. Third-Party Integrations

ExpoLeads may integrate with third-party services (Zoho, HubSpot, etc.). Your use of these integrations is subject to their terms and privacy policies. We are not responsible for third-party service availability, security, or content.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EXPOLOADS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPOLOADS SHALL NOT BE LIABLE FOR: loss of data, revenue, or profits; business interruption or inability to use the Platform; indirect, incidental, or consequential damages; or third-party claims. Our total liability for any claim shall not exceed fees paid by you in the preceding 12 months.

12. Indemnification

You agree to indemnify and hold harmless ExpoLeads, its officers, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising from: (a) your use of the Platform; (b) violation of these Terms; (c) infringement of third-party rights; or (d) your User Content.

13. Suspension and Termination

ExpoLeads may suspend or terminate your account if you: (a) violate these Terms; (b) engage in prohibited activities; (c) have outstanding payment obligations; or (d) breach security or policies. Termination does not relieve payment obligations. Upon termination, your right to use the Platform ceases immediately.

14. Payment and Billing

You agree to pay all applicable fees and charges. Billing is automatic on your selected renewal date. You authorize us to charge your payment method. Failure to pay may result in account suspension. All fees are exclusive of taxes unless stated otherwise.

15. Modifications to the Platform

ExpoLeads may modify, suspend, or discontinue features without liability. Material changes will be communicated via email or prominent notice. Continued use after modifications constitutes acceptance.

16. Dispute Resolution

Any dispute arising from these Terms shall be resolved through: (a) good faith negotiation; (b) mediation if negotiation fails; or (c) binding arbitration. You waive the right to pursue claims in court.

17. Governing Law

These Terms are governed by the laws of India without regard to conflict of law principles. You submit to the exclusive jurisdiction of Indian courts.

18. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ExpoLeads regarding the Platform and supersede all prior agreements.

19. Severability

If any provision is found unenforceable, the remaining provisions continue in full force and effect.
